Definitions: These terms and conditions govern the relationship between Counseloop (referred to as "we", "us", or "our") and the client (referred to as "you" or "your"), who is an employer seeking talent sourcing services for candidate recruitment.

Scope: Counseloop specializes in providing talent sourcing services to employers seeking suitable candidates for their job openings. Our services include but are not limited to: (1) Identifying potential candidates through various channels, including databases, job boards, and professional networks. (2) Conducting preliminary screening of candidates to assess their suitability for the position. (3) Facilitating communication between the employer and the candidate during the recruitment process.

Client Responsibilities: As the client, you agree to: (1) Provide accurate and detailed information about the job opening, including job description, qualifications, and any other relevant criteria. (2) Cooperate with Counseloop throughout the recruitment process, including providing feedback on candidate profiles and participating in interviews as needed. (3) Notify Counseloop promptly of any changes to the job requirements or recruitment timeline.

Candidate Selection: While Counseloop will make every effort to identify and present qualified candidates, we do not guarantee the suitability or availability of any candidate. The final decision regarding candidate selection and hiring rests solely with you as the employer.

Fees and Payments: Our fees for talent sourcing services are outlined in a separate agreement or proposal which will be provided to you before finalizing the agreement.

Confidentiality: You agree to maintain the confidentiality of any proprietary information shared by Counseloop during the course of our engagement and even after the closure of our agreement.

Intellectual Property: Any materials or documents provided by Counseloop as part of our services, including candidate profiles and assessments, remain the intellectual property of Counseloop. You agree not to reproduce, distribute, or disclose such materials without our prior written consent.

Limitation of Liability: While we strive to provide high-quality services, Counseloop shall not be liable for any damages, losses, or expenses arising from our services, including but not limited to the performance or non-performance of any candidate.

Termination: Either party may terminate the engagement upon written notice if the other party breaches any material provision of these terms and conditions. Termination shall not relieve either party of any obligations accrued prior to the termination date.

Advertising Services: Counseloop may, at its discretion and with your prior approval, advertise the job opening to create a pool of applicants for your open position. This may include posting job advertisements on various online platforms, social media channels, and other relevant channels to attract potential candidates.
